Committees

Audit committee

Members of the audit committee are Patrick Ganansia, Rémy Allemane, Luc Leroi and Jean-François Ott. The audit committee reviews the Company’s accounting policies and communication of financial information. There has been one meeting since 1 January 2006, primarily to discuss changes in accounting policies.

Remuneration committee

Members of the remuneration committee are Rémy Allemane, Patrick Ganansia, Jean-François Ott, Luc Leroi and Guy Wallier.

The remuneration committee presents proposals to the Board of Directors about remuneration and incentive programmes to be offered to the management and the Directors of the Company. The members of the Executive Committee do not vote on matters relating to their own remuneration. There has been one meeting since 1 January 2006.

Jean-François Ott, Chief Executive Officer. Jean-François Ott, 43 years old, is the founding partner of Orco in 1991. Mr. Ott served 18 months in South Korea for the French group Framatome, before a successful career as a derivatives trader in Paris. Based in Paris, he is managing the Group’s strategy, new business development, group finance issues as well as banking and investors relations. Jean-François Ott has 15 years of experience both in real estate development and business in Central Europe. He was only 26 years old when he started Orco in 1991, purchasing its first office building in Prague. Thanks to this long experience, living seven years in Prague and extensive and continuous travel in the region, Jean-François Ott knows very well each country, market and main players in Central Europe. Since it’s beginnings in Prague he also launched new Orco subsidiaries in Budapest, Warsaw, Bratislava, and more recently Split, Zagreb, Moscow, Belgrade and new activities: residential buildings, extended stay hotels and luxury hotels. In fifteen years he realized the acquisition, development and financing of more than 100 projects. Jean-François Ott professional qualifications include: graduations in Finances and Economics from the Political Sciences Institute and the Owners Directors Program of INSEAD. He’s also the President of MaMaison Residences and Chairman of the board of Orco Hotel Group. Married with Corinne, originating from Texas, Jean-François Ott has two kids and speaks fluently French, English and German.

Steven Davis is a Senior Vice President of Orco Property Group and Managing Director and Chief Operating Officer for all its real estate companies in the Czech Republic, Hungary, Poland and Slovakia. Prior to joining the Company, he worked as Executive Director for a British real estate and development company and, more recently, as a partner with the real estate and development company FlowEast, where he worked from 1991-2003. A resident of Prague since 1991, Mr. Davis has more than 15 years of business experience in central and eastern Europe and extensive knowledge of the real estate market in the region.

Ales Vobruba is a Senior Vice President of the Company, whose main responsibilities include new acquisitions, asset management, office and residential and hotel projects in central Europe. Before starting at the Company in 1995, Ales worked for PZO Artia, Transport-Construction Company Olomouc and TAP/ARC (construction and advertising). He studied foreign trade at VSE in Prague.

Nicolas Tommasini is a Senior Vice President of the Company. Nicolas joined Orco Property Group in 1997 and has held several senior roles since then. He was, amongst others, responsible for international development of the Group’s first hospitality projects. He was appointed CEO of MaMaison Residences at the end of 2002. In 2003 he was also named Vice President in charge of hospitality division for Orco Property Group, and Managing Director of the Endurance Hospitality Fund. Since 2008, M. Tommasini‘s mandate is to be responsible for strategy and special projects of the group as Senior Vice President. Mr. Tommasini, a French native, holds a degree in political science from the Institut d’Etudes Politiques de Paris and an MSc in International finance from Lancaster University. Mr. Tommasini is 36 years old, he is married and has three children. Prior to joining Orco, Mr. Tommasini was involved in business development in Eastern and Central Europe.

Arnaud Bricout is a Vice President of the Company. Arnaud first joined the Orco Property Group team in 2003 to manage the corporate finance department, with 18 years of experience on Stock Exchange markets, both as trader and as managing director. Since his arrival, Mr Bricout has successfully managed a capital increase of EUR 17.6 million in November 2003, and convertible bond issues amounting to EUR 32.5 million in 2004. He also oversaw the listing of the Orco share on the Prague Stock Exchange. Mr Bricout has arranged a 2 step up equity program, a bond issue in Prague , a bond issue with warrants attached and a convertible bond of M€150. With 50 road shows per year all over Europe and in the US, Arnaud Bricout met around 500 investors in 2006 Mr Bricout is a graduate of Financial Management, he is married and has two children, and speaks fluent French and English.

Luc Leroi is a Vice President and the Chief Financial Officer of the Company. Graduated of HEC Belgium and a third cycle in fiscal sciences. Mr Leroi joined Orco in January 2002 after 12 years of experience in the audit field with Deloitte, investments funds with Fortis and financial engineering with Credit Lyonnais. Mr Leroi is the Global CFO since 2005, heading the accounting, the consolidation, budgeting and forecasting, treasury and cash flow management of the Group with the help of teams spread over the different countries. In addition Mr Leroi is the General Secretary of the Company since 2005.

Dragan Lazukič is the Regional Director for Croatia and SE Europe. After more than 12 years in the Prague office, and subsequent to last year’s joint venture with the Croatian Privatization Fund in Sunčari Hvar d.d., he has relocated to Croatia where he has assumed the roles of CEO in Sunčari Hvar and Regional Director for Croatia and SE Europe. Mr. Lazukic holds a Master’s Degree from the Faculty of Economics at Sarajevo University, Bosnia and Herzegovina.

Karen Hartley is Executive Advisor for Sales and Marketing. Karen is responsible for all residential sales throughout the Orco group and for the global co-ordination of Orco’s corporate marketing, branding and demand creation activities within central European region. Ms. Hartley has 15 years of experience in the Czech market and speaks fluent Czech. Her background includes years of sales experience including significant resort development in emerging markets and sales of vacation and timeshare properties .Karen leads the local teams in achieving maximum sales revenues whilst offering a competitive product in each country. Her other responsibilities include sales forecasting, strategy and as member of the Development Board she is heavily involved in project development from concept to completion.

Martin Gebauer is Head of Asset Management. Before joining the Group in 2003, Mr. Gebauer was a financial director of a British hospitality group in Spain. Prior to that he spent five years with Ernst & Young assurance services in the Czech Republic and United States. He is a member of the Association of Certified Accountants in Great Britain and holds an MSc in Economics and Management of Civil Engineering from the Czech Technical University, with graduation from the City University of London.

Pavel Klimes joined the Group in 2000 and is currently the Director of Development, Czech Republic & Slovakia. Previous positions include country manager for the Czech Republic and Director of Operations. Before joining the Group, Mr. Klimes served as general manager of HEBEL, an industrial construction company, and worked as a consultant for A.T. Kearney. He holds an MSc in Civil Engineering from the Czech Technical University and an MBA from the Katz School of Business, University of Pittsburgh.

Rainer Bormann is the CEO of Orco Germany S.A. After starting his career as a sales representative with Barings investment bank in Paris and London and prior to founding Orco Germany S.A., a subsidiary of the Company, in 2004, Mr. Bormann headed the Asian Equity division at Lehman Brothers in Europe. He studied economics and finance at the Institut d’Études Politiques in Paris.

Barry D. Coleman is Group Director of Human Resources Mr. Coleman joined the Orco Property Group on September of 2006, as Group Director of HR. Mr. Coleman’s mandate is to assist in the improvement of our operational results through the professional development of the Human Resources function in our firm. Mr. Coleman was most recently Vice President of Global Human Resources for a large private equity firm, Platinum Equity, LLC, in Beverly Hills, California. Prior to that, he served as Vice President of Human Resources for Sony and Technicolor, in global roles, and previously served as a Senior Diplomat in the U.S. Foreign Service. He has spent over 12 years living and working in Europe and another three in Asia. In addition to native English, he speaks fluent Hungarian, intermediate German and basic Russian.

Dr. Christoph Manthe is Head of The Endurance Real Estate Fund. Based in Prague, with more than 20 years of experience in global real estate finance and investment. Mr. Manthe joined Orco Property Group in October 2004 and is responsible for the Endurance Fund’s strategy and business development. From 1995 until 2003 he was a Director for HVB´s cross-border activities being responsible for relationships to its major real estate clients in Europe, particularly in Eastern Europe. During this time he built up extensive experience with Eastern European real estate markets and started long term relationships to the major developers and investors.

Séverine Farjon is Head of Investor Relations, Deputy Head of Corporate Finance. Mrs. Séverine Farjon has a diploma from the Institute of Political Studies in Paris, a legal licence and holds a French certificate in Financial Analysis. She began her career as a Financial Analyst in the field of Real Estate with Fortis. In the European team, she was commissioned to cover all French securities. After this, she worked as an Investment Banker with Natixis, launching The Eiffel Tower, Mercialys, Icade and new property developers onto the stock market. At ORCO Property Group Mrs. Farjon is the Head of Investor Relations, Deputy Head of Corporate Finance. Alongside Mr. Arnaud Bricout, she is responsible for securing funds essential for growth of the group, assisting with general fundraising and handles relations between financial analysts who cover securities, the main shareholders and the financial board of management of the group. Mrs. Farjon is married and has a baby son.

Iain Sellers is Managing Director, ORCO Hungary. Mr. Sellers is a 39 years old, experienced Property Specialist who has been active in Central Europe since 1996. Mr. Sellers has been Managing Director of Hungary for ORCO Property Group since June 2007. In April 2008 he was promoted to become a member of ORCO’s Executive Committee, with specific responsibilities for leading ORCO’s luxury retail projects. Prior to this Mr. Sellers was Regional Operations Director for ORCO, overseeing the construction and development operations at Group level for Central Europe. Mr. Sellers has overseen ORCO’s sustainable development drive since joining the Group in May 2006. Before joining ORCO Mr. Sellers worked for 7 years for Tesco Stores across the CE region ensuring that Tesco got value from their real estate developments. Mr. Sellers is married and has two sons.

Douglas Noble is Managing Director, ORCO Poland. Mr. Douglas John Noble has 10 years of experience in the real estate market, with a background of Project Management and Quantity Surveying. Prior to joining the ORCO Property Group team, he held the position of Senior Associate Partner with global construction consultancy, Gardiner & Theobald LLP, active in Czech Republic and Romania. Prior to this, Mr. Noble practiced as a Chartered Surveyor in London with AYH plc. Mr. Noble is a Member of the Royal Institution of Chartered Surveyors. He holds Bachelor of Science degree from the Robert Gordon University in Aberdeen.

Yves Désiront is Group Consolidation and Reporting Director. Graduated as Ingénieur Commercial of I.C.H.E.C. Brussels, Mr. Désiront joined ORCO in 2005 after a 7 year position as Head of Consolidation in Groupe Bruxelles Lambert a Belgian holding company listed on Euronext Brussels and a three year middle management position at Générale de Banque (Fortis). Mr. Désiront is heading the consolidation, controlling and business intelligence departments. With his teams, he is responsible for the establishment of all internal and external financial reporting. He is also supporting the Group CFO in its various responsibilities.

Jeff Alson is Investments Acquisition Director CEE. Mr. Alson is responsible for acquisition of investment property across core Central European markets for the ORCO Property Group including the Endurance Fund. His team is responsible for sourcing, analyzing and ultimately closing transactions for primarily income producing assets in the main asset classes of office, retail and industrial. Mr. Alson was responsible for Valuation and Investment Advisory at CBRE Poland 2003-2005, and joined ORCO as a Business Manager in 2005-2006 covering CEE region.

Gilles Kolifrath is Group General Counsel. Mr. Gilles Kolifrath joined ORCO Property Group in 2007. Mr. Kolifrath heads ORCO’s Legal function and coordinates the activities of all the lawyers within the Group. He is in charge of financial and legal aspects of deals, participations, and stocks and financial instruments issued by ORCO and its subsidiaries. He also monitors the relationship with our external legal advisors. Mr. Kolifrath has a Master of Law from Paris-XI University, a Tax Specialised Doctorate from Paris-V University and a Certificate of Public Management from Indiana University. He has also studied economics and political science. He has specialized in complex financial transactions including derivatives, fixed income and credit structured products, securitisation, as well as banking law, M&A, project finance and tax. Mr. Kolifrath has 20 years of experience in the legal and compliance fields. He joined after having worked with Natixis as Head of Central Compliance. Before that, he was Head of Calyon’s Capital Markets Legal Team for 4 years and Head of BNP Paribas’ Financial Legal Team for 8 years. For 6 years he also worked as a French Avocat at Linklaters and Gide Loyrette Nouel in Paris. He lectures at the Centre de Formation de la Profession Bancaire in Paris and in the Master of International and European Law at Paris XIII University. He has also published a book on Bonds and EMTN as well as various legal articles on financial law issues in French and English legal magazines. Mr. Kolifrath is 45 years old, is married and has two children.

Subodh Kumar is European Procurement & Logistics Director. Mr. Kumar joined ORCO property Group team in 2007 to manage Procurement & Logistics with prior 10 years. He leads a team responsible for all ORCO Property Group Procurement including the final price negotiation with the General Contractor and the major deals with the manufacturers of the materials used in the ORCO Projects. Mr. Kumar is married and has one son.

Keith Lindsay is Head of Hospitality. He is responsible for the operations of the MaMaison Hotel & Apartments and the Sunčani Hvar Hotels. He is also responsible for asset management of our Hotel properties and new investments, whether owned directly or in partnership. Mr. Lindsay joined us from AIG Global Real Estate, where he negotiated the Joint Venture with ORCO among other investments as the Global Head of Hospitality Investments. Previously, he was COO of Envergure and Louvre Hotels, the 2nd biggest European chain of hotels. Mr. Lindsay has also held a number of roles in the Walt Disney Company, Intercontinental Hotels Group and Accor Hotels. He has an MBA from IESE, Barcelona.
